WEBSITE USER AGREEMENT

1. General Provisions

1.1 This Website User Agreement (the “Agreement”) applies to the website https://o2pets.ae and its subdomains (collectively, the “Website”), owned and operated by O2 PETS TRADING L.L.C, a company incorporated in the United Arab Emirates, with its registered address at Building No. 7, DIP 1, Jebel Ali, Dubai, UAE, P.O. Box 598-1350, operating under Trade Licence No. 1325283 issued by the Dubai Department of Economy and Tourism (the “Company”, “O2Pets”, “we”, “us” or “our”).

1.2 This Agreement governs access to and use of the Website by any visitor, registered user or customer (the “User” or “you”).

1.3 By accessing the Website, creating an account, submitting information or placing an order, you confirm that you have read, understood and agreed to this Agreement.

1.4 If you do not agree with this Agreement, you must not use the Website or place an order through it.

1.5 We may amend this Agreement when necessary. The version published on the Website at the time an order is placed will apply to that order. Continued use of the Website after changes are published constitutes acceptance of the updated Agreement.

2. Permitted Use of the Website

2.1 You may use the Website only for lawful purposes and in accordance with this Agreement.

2.2 You agree to provide accurate, complete and current information when creating an account, placing an order or communicating with us.

2.3 You must not:

a) use the Website for fraudulent, unlawful or misleading activities;

b) interfere with the operation or security of the Website;

c) attempt to gain unauthorized access to the Website, its systems or other users’ information;

d) reproduce, duplicate, copy, modify, sell, license or commercially exploit any part of the Website without our prior written permission;

e) use automated systems, bots or scraping tools to extract Website content or product information;

f) impersonate another person or provide false customer, billing or delivery information;

g) use multiple accounts or different contact details to avoid purchasing restrictions.

3. Retail Purchases and Personal Use

3.1 The retail section of the Website is intended exclusively for natural persons purchasing Products for their own personal, household or pet-care use.

3.2 By placing an order through the retail section of the Website, you confirm that:

a) you are purchasing the Products for personal use;

b) you are not purchasing the Products for resale, redistribution or commercial supply;

c) you are not acting on behalf of a reseller, distributor, wholesaler, dropshipper, marketplace seller or other commercial buyer.

3.3 Products purchased through the retail section of the Website must not be resold, supplied, transferred, distributed, exported for resale, listed on any marketplace or otherwise made available to third parties in the course of business.

3.4 In particular, Products purchased through the retail section must not be listed, advertised, offered, sold or fulfilled through Amazon, Noon or any other third-party marketplace without our prior written authorization.

3.5 Approval or fulfilment of a retail order does not authorize the customer to act as an O2Pets reseller, distributor, wholesale partner, agent or representative.

4. Wholesale and Commercial Purchases

4.1 Any pet shop, veterinary clinic, grooming salon, reseller, distributor, wholesaler, marketplace seller, sole trader, company or other person intending to purchase Products for resale or commercial distribution must first apply for and receive written approval from O2Pets.

4.2 Approved business customers must place their orders through the authorized wholesale process and accept the applicable O2Pets Wholesale Website Terms.

4.3 Creating a retail customer account or placing an order through the retail section does not constitute wholesale approval.

4.4 We are not required to approve any wholesale application and may request business registration documents, trade licence information, sales-channel details or other information before granting access to wholesale pricing or ordering.

4.5 Wholesale prices, discounts, minimum order quantities, payment terms, delivery terms and sales restrictions apply only after written approval by O2Pets.

5. Commercial-Order Detection and Cancellation

5.1 We reserve the right to review any order that may reasonably appear to be intended for resale, redistribution or another commercial purpose.

5.2 When assessing an order, we may consider:

a) the quantity of Products ordered;

b) repeated or unusually frequent orders;

c) multiple orders for the same Products;

d) the customer’s contact, billing or delivery information;

e) orders placed through different accounts for the same person, business or address;

f) any other circumstances reasonably indicating a commercial purchase.

5.3 We may request additional information to verify the identity of the customer and the intended purpose of the purchase.

5.4 We may apply purchasing limits, suspend an order, refuse an order or cancel an order that we reasonably believe:

a) is intended for unauthorized resale or commercial distribution;

b) has been placed using false or misleading information;

c) is intended to avoid purchasing limits;

d) violates this Agreement or any applicable law.

5.5 Placing multiple orders or using different names, accounts, telephone numbers, email addresses, payment methods or delivery addresses to avoid purchasing restrictions is prohibited.

5.6 If we cancel a paid order before dispatch, we will refund the amount paid for the cancelled Products using the original payment method, subject to applicable payment-provider processing times and rules.

5.7 If only part of an order is cancelled, we may fulfil the remaining permitted quantity and refund the cancelled portion.

6. Orders and Acceptance

6.1 Submitting an order through the Website constitutes an offer to purchase the selected Products. An order confirmation acknowledging receipt does not necessarily mean that the order has been accepted.

6.2 An order is accepted when we confirm acceptance, dispatch the Products or otherwise expressly confirm fulfilment.

6.3 We may refuse or cancel an order before acceptance if:

a) a Product is unavailable;

b) the price or Product information contains an obvious error;

c) payment cannot be verified or processed;

d) delivery cannot be completed to the provided address;

e) we reasonably suspect fraud, unauthorized resale or a breach of this Agreement;

f) the order exceeds applicable purchasing limits.

6.4 Product availability, prices, taxes, delivery charges and other applicable costs will be displayed on the Website or during checkout.

6.5 You are responsible for checking your order details, delivery address and contact information before completing your purchase.

7. Product Information

7.1 We take reasonable steps to ensure that Product descriptions, images, prices and other information published on the Website are accurate.

7.2 Product packaging, colour, appearance or labelling may vary slightly from images displayed on the Website.

7.3 Information provided on the Website is for general informational purposes and must not be treated as veterinary diagnosis, treatment or professional medical advice.

7.4 You are responsible for reviewing Product instructions, ingredients, warnings and recommended usage before giving any Product to an animal.

7.5 If your pet has a medical condition, receives medication, is pregnant or has a known allergy, you should consult a qualified veterinarian before using a new supplement or Product.

8. Intellectual Property

8.1 All Website content, including trademarks, trade names, logos, Product names, photographs, videos, graphics, designs, layouts, text and other materials, is owned by or licensed to O2Pets and is protected by applicable intellectual-property laws.

8.2 You must not copy, download, reproduce, edit, translate, publish, distribute or commercially use Website content without our prior written permission.

8.3 Purchasing a Product does not transfer any intellectual-property rights or grant permission to use O2Pets branding, marketing materials or Product content for commercial purposes.

8.4 No person may represent themselves as an authorized O2Pets reseller, distributor, wholesale partner, agent or representative without our prior written confirmation.

9. User Accounts

9.1 You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

9.2 You must notify us promptly if you believe your account has been accessed or used without authorization.

9.3 We may suspend or close an account if we reasonably believe that:

a) false or misleading information has been provided;

b) the account is being used for unauthorized resale or commercial purchasing;

c) multiple accounts have been created to avoid purchasing restrictions;

d) the User has violated this Agreement or applicable law.

10. Third-Party Links and Services

10.1 The Website may contain links to third-party websites, payment providers, delivery services or other external services.

10.2 We are not responsible for the content, availability, privacy practices or terms of third-party services.

10.3 Your use of third-party services may be subject to separate terms and policies issued by those providers.

11. Limitation of Liability

11.1 To the extent permitted by applicable law, O2Pets will not be liable for indirect, incidental or consequential losses resulting from the use of or inability to use the Website.

11.2 Nothing in this Agreement excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

11.3 Nothing in this Agreement affects any mandatory consumer rights available under applicable UAE law.

12. Suspension and Termination

12.1 We may restrict, suspend or terminate access to the Website or a User account if the User breaches this Agreement, engages in suspected fraud or attempts to purchase Products for unauthorized resale.

12.2 Suspension or termination does not affect any rights, obligations or liabilities that arose before the suspension or termination.

13. Governing Law and Jurisdiction

13.1 This Agreement is governed by the laws of the United Arab Emirates and the applicable laws and regulations of the Emirate of Dubai.

13.2 Subject to any mandatory consumer-protection rules, the courts of Dubai shall have jurisdiction over disputes arising from or relating to this Agreement or the use of the Website.

13.3 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
